Terms & Conditions (AGB)

Your rights and obligations

1. Scope of Application

These general terms and conditions apply to all contracts between LogicLoom – Hamidreza Pakzad, Hannover, Germany (hereinafter referred to as "LogicLoom") and the respective client (hereinafter referred to as "Customer").

  • •Deviating or conflicting conditions of the customer will not be recognized unless LogicLoom expressly agrees to them in writing.
  • •LogicLoom provides its services exclusively to entrepreneurs within the meaning of § 14 BGB, i.e. within the framework of commercial or independent professional activity.

2. Contract Formation

  • ✓A contract is concluded as soon as the customer accepts an offer from LogicLoom in writing or by email.
  • ✓Acceptance of a cost estimate or project description also constitutes contract formation.

4. Customer Cooperation Obligations

The customer commits to providing all necessary information, files, and approvals in a timely manner. Delays caused by late cooperation do not affect the payment schedule.

3. Scope of Services

LogicLoom offers services in the following areas:

  • ▸Web Development (Frontend & Backend)
  • ▸Mobile App Development (iOS & Android)
  • ▸UI/UX Design
  • ▸Implementation of CI/CD processes

The exact scope of services is determined by the individual offer or project agreement.

The content (texts, images, logos, etc.) required for project creation is provided by the customer. The customer guarantees that they own all rights to the provided materials.

Upon completion, the customer receives a preview version for review. Change requests within the agreed scope are free of charge; additional adjustments will be charged according to effort. After final acceptance, the project is considered completed.

5. Payment Terms

Unless otherwise agreed, payment is made in two installments:

  • 💰50% at project start (deposit)
  • 💰50% after completion and acceptance

In case of cancellation by the customer:

  • →Within 3 days after contract conclusion → full refund.
  • →After 3 days → 50% of the deposit (25% of the total amount) is retained; the rest is refunded.

In case of payment delay, LogicLoom is entitled to suspend further work until outstanding amounts are settled.

6. Copyright and Usage Rights

  • ©Until full payment, all created designs, codes, and concepts remain the property of LogicLoom.
  • ©After full payment, the customer receives an unrestricted, simple usage right.
  • ©Transfer, reuse, or sale to third parties requires LogicLoom's consent.
  • ©LogicLoom may mention completed projects (e.g., screenshots, links, or logos) as references on its own website or in portfolios, unless the customer expressly objects.

7. Confidentiality and NDA

LogicLoom treats all project-related information confidentially. Upon request, a separate NDA (Non-Disclosure Agreement) will be concluded with the customer to ensure the security of ideas and project data.

8. Liability

  • !LogicLoom is only liable for intent and gross negligence.
  • !No liability is assumed for indirect damages, lost profits, or data loss, unless there is intent or gross negligence.
  • !The liability amount is limited to the contract value.

9. Data Protection

LogicLoom processes personal data exclusively in accordance with the applicable General Data Protection Regulation (GDPR). Details are described in the privacy policy at https://logicloom.de/privacy

10. Term and Termination

  • ⏱The collaboration applies for the project duration agreed in the offer.
  • ⏱After completion, the customer can commission additional or maintenance services separately.
  • ⏱Early termination is possible, but the refund conditions mentioned under point 5 apply.

11. Final Provisions

  • §German law applies.
  • §The place of jurisdiction is Hannover.
  • §Should individual provisions of these terms and conditions be or become invalid, the validity of the remaining provisions remains unaffected. The parties commit to replacing the invalid provision with an economically equivalent one.
